These Terms & Conditions (“Agreement”) govern the use of Allsoft’s automation services for business operations and consulting services (“Services”) provided by Allsoft (“Allsoft,” “we,” “us,” or “our”) to our clients (“Client,” “you,” or “your”). By accessing and using our Services, you agree to be bound by these Terms & Conditions in their entirety. Please read this Agreement carefully before proceeding.
  1. Services Overview
1.1. Allsoft offers automation services for streamlining business operations and consulting services to help improve efficiency and productivity for our Clients. Our Services may include but are not limited to software implementation, customization, integration, training, and ongoing support. 1.2. The scope of the Services will be specified in the corresponding Service Agreement, Proposal, or Statement of Work (“SOW”) agreed upon by both parties.
  1. Client Obligations
2.1. The Client agrees to cooperate and provide accurate and complete information to Allsoft during the course of delivering the Services. Timely provision of data, access to relevant systems, and required resources shall be the responsibility of the Client. 2.2. The Client shall appoint a designated representative who will serve as the primary point of contact for Allsoft. This representative will have the authority to make decisions and provide approvals on behalf of the Client.
  1. Service Delivery
3.1. Allsoft will use commercially reasonable efforts to provide the Services as outlined in the agreed-upon SOW or Service Agreement. 3.2. Allsoft may use subcontractors or third-party service providers to assist in delivering the Services, but we will remain responsible for the overall performance of the Services. 3.3. We reserve the right to make changes to the Services, provided that these changes do not materially affect the quality or purpose of the Services. We will communicate any significant changes and obtain your consent where required.
  1. Fees and Payment
4.1. The Client agrees to pay the fees outlined in the Service Agreement or SOW for the provision of Services. 4.2. Payment terms will be specified in the Service Agreement or SOW. Unless otherwise agreed upon, invoices shall be due within 30 days of the invoice date. 4.3. Any taxes, duties, or other governmental levies imposed on the Services will be the responsibility of the Client and will be added to the invoice, if applicable. 4.4. In case of overdue payments, Allsoft reserves the right to suspend or terminate the Services until the outstanding balance is settled.
  1. Intellectual Property
5.1. All intellectual property rights related to the Services, including but not limited to software, documentation, and other deliverables, remain the property of Allsoft, unless otherwise specified in the Service Agreement or SOW. 5.2. Allsoft grants the Client a non-exclusive, non-transferable license to use any software or deliverables provided as part of the Services solely for internal business purposes during the term of the Agreement.
  1. Confidentiality
6.1. Both parties agree to treat all non-public information, including but not limited to trade secrets, business plans, and proprietary data, as confidential. 6.2. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.
  1. Limitation of Liability
7.1. Allsoft shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the provision of Services, even if advised of the possibility of such damages. 7.2. The total liability of Allsoft for any claims related to the Services or this Agreement shall not exceed the total fees paid by the Client for the Services in the six months preceding the event giving rise to the claim.
  1. Termination
8.1. Either party may terminate the Agreement for cause if the other party breaches any material term of this Agreement and fails to cure such breach within 30 days of written notice. 8.2. Upon termination, the Client shall pay any outstanding fees for Services delivered up to the termination date.
  1. Governing Law and Jurisdiction
9.1. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflicts of law principles. 9.2. Any disputes arising out of or in connection with this Agreement shall be resolved by the courts of [Jurisdiction].
  1. Miscellaneous
10.1. This Agreement constitutes the entire understanding between Allsoft and the Client concerning the subject matter herein and supersedes all prior and contemporaneous agreements, whether oral or written. 10.2. Any modifications or amendments to this Agreement must be made in writing and signed by both parties. By using our Services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. If you do not agree with any part of this Agreement, you should not proceed with the Services provided by Allsoft.
